Section Three Contract
在纺织品国际贸易中，合同主要采用两种形式：一种是条款完备、内容较全面的正式合同，如销售合同（sales contract）；另一种是内容较简单的简式合同，如销售确认书（sales confirmation）。两者虽然在格式、条款项目和内容的繁简上有所不同，但在法律上具有同等效力，对买卖双方均有约束力，本节将通过江苏RQ纺织品有限公司和美国森泰纺织贸易有限公司签订的销售合同为例进行介绍。
A contract is an agreement between two or more competent parties in which an offer is made and accepted，and each party benefits.It is an agreement which sets forth binding obligations of the rele⁃vant parties.The agreement can be formal，informal，written，oral or just plain understood.Some con⁃tracts are required to be in writing in order to be enforced.This term，in its more extensive sense，in⁃cludes every description of agreement，or obligation，whereby one party becomes bound to another to pay a sum of money，or to do or omit to do a certain act.In its more confined sense，it is an agree⁃ment between two or more persons，concerning something to be done，whereby both parties are bound to each other，or one is bound to the other.
A contract properly includes：①the full name and address of the buyer and the seller；②the commodities involved；③all the terms and conditions agreed upon；④indication of the number of o⁃riginal copies of the contract，the language used，the term of validity and possible extension of the contract.In international trade，export and import contracts vary in both names and forms.The names that often appear are contract，confirmation，agreement and memorandum.
美国森泰纺织贸易有限公司于2017年9月29日收到江苏RQ纺织品有限公司样品后确认其品质，双方按事先约定的条款订立以下合同。
SALES CONTRACT

The Seller：Jiangsu RQ Textile Co.，LtdNo.：JX760125
The contract is made by and between the seller and the buyer，whereby the seller agrees to sell and the buyer agrees to buy the under－mentioned goods according to the terms and conditions stipulated below：
Say US dollars twenty－seven thousand six hundred only.
Terms and Conditions：
5% more or less both in amount and quantity is allowed.
Packing：30－40m into a plastic bag，5 plastic bags into a carton.
Port of Loading：Shanghai，China.
Port of Destination：New York，USA.
Shipping Mark：N/M.(www.xing528.com)
Date of shipment：Not later than December 20，2017 By Vessel.
Terms of payment：By confirmed irrevocable L/C payable by draft at sight.
Partial Shipment：Prohibited.
Transshipment：Prohibited.
Insurance：To be effected by the sellers for 110% of full invoice value.
Documents required：
Manually signed Commercial Invoice in quadruplicate；
Full set of clean on board oceanBills of Lading made out to our order；
Signed Packing List in quadruplicate；
Signed Certificate of Origin in duplicate；
Insurance Policy in duplicate；
Beneficiary′s Certificate.
